Agreement

This Agreement is a public contract – a Public Offer Agreement, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers, regardless of their status (individual, legal entity, or individual entrepreneur). By fully accepting this Agreement, the Buyer agrees to the terms and conditions regarding order placement, payment, and product delivery.

This Agreement is concluded between the online store “arteradiator.com.ua” (hereinafter referred to as the "Seller") and any legal entity, individual entrepreneur, or individual using the online store's services (hereinafter referred to as the "Buyer"). This Agreement contains all the essential terms of the remote sales-purchase agreement (i.e., through the online store).

The terms of this Agreement regulate the relationship between the Seller and the Buyer and are governed by the Law of Ukraine “On Consumer Protection” No. 1023-XII dated May 12, 1991, as well as the Rules for Retail Trade of Non-Food Products, approved by the Order of the Ministry of Economy of Ukraine No. 104 dated April 19, 2007. This agreement is a public offer, equivalent to an "oral agreement," and has full legal force in accordance with the current legislation of Ukraine.

1. GENERAL PROVISIONS

1.1. This Agreement is a public offer (in accordance with Articles 633, 641, and Chapter 63 of the Civil Code of Ukraine) and contains all essential conditions for the organization of the remote purchase and sale of goods through the online store.

1.2. According to Article 642 of the Civil Code of Ukraine, full and unconditional acceptance of the terms of this public agreement (public offer) occurs when the Buyer:

Clicks the "Checkout" or "Buy in 1 Click" button.
Pays for the order in full (100%) under the terms of this agreement.

1.3. The public offer is also considered accepted when the Buyer registers on the online store’s website.

1.4. By entering into this Agreement, the Buyer confirms that they have fully read and agreed to its terms. If the Buyer is an individual, they also give consent to the processing of their personal data to enable the execution of this Agreement, conduct mutual settlements, and receive invoices, acts, and other documents.

1.5. The consent to the processing of personal data is valid for the entire duration of the Agreement. The Buyer acknowledges that they have been informed (without additional notice) about their rights and the purposes of data collection as established by the Law of Ukraine “On Personal Data Protection.”

2. TERMS AND DEFINITIONS

2.1. "Online Store" – the Seller's website (arteradiator.com.ua) created to conclude retail and wholesale sales contracts based on the Buyer's review of the product description and photographs via the Internet, without the possibility of direct inspection of the goods.

2.2. "Product" – the list of goods presented in the online store’s catalog.

2.3. "Personal Data" – any information directly or indirectly related to an identified or identifiable individual.

3. SUBJECT OF THE AGREEMENT

3.1. The online store undertakes to transfer ownership of the goods to the Buyer, and the Buyer agrees to pay for and accept the goods under the conditions of this Agreement.

3.2. This Agreement regulates the purchase and sale process in the online store, including:

Voluntary selection of goods by the Buyer in the online store by categories.
Independent placement of the order on the website.
Payment for the order made via the online store.
Fulfillment and transfer of the order to the Buyer under the conditions of this Agreement.

4. ORDER PLACEMENT PROCEDURE

4.1. The Buyer places an order independently via the online store or through the provided contact phone numbers.

5. COST AND PAYMENT PROCEDURE

5.1. The full cost of the product is specified on the Seller’s website.

5.2. Prices for goods and services may change depending on market conditions. The Seller cannot change the price for an individual Buyer if they have already accepted the terms and made a payment.

5.3. The Buyer must pay for the order within 2 business days (100% prepayment) via bank transfer to the Seller’s account, including online banking options.

6. ORDER DELIVERY

6.1. Shipment to the Buyer occurs after full payment (100%) or with the cash-on-delivery option.

6.2. Delivery is performed by the Seller or a transport company. Orders over 5000 UAH are shipped free of charge to a carrier’s branch.

6.3. The maximum delivery period is 14 days.

6.4. Bulk orders have separate delivery terms and methods, agreed upon individually.

6.5. The Seller is not responsible for delivery delays caused by third parties (carriers).

7. RETURN OF GOODS OF PROPER QUALITY

7.1. The Buyer has the right to exchange goods if they are not suitable in form, size, color, or other non-functional reasons, under the following conditions:

The product was not used and remains in its original packaging with all labels and seals intact.
The Buyer presents the receipt and all accompanying documents.
The exchange is requested within 14 days from the purchase date.

7.2. The return does not apply to goods listed in Annex No. 3 of the Resolution of the Cabinet of Ministers of Ukraine No. 172 dated March 19, 1994.

7.3. Transport costs for product exchange are covered by the Buyer.

8. RIGHTS AND OBLIGATIONS OF THE PARTIES

8.1. The Buyer must:

Review product information before purchasing.
Correctly place an order.
Pay for and receive the order in accordance with the Agreement.
Check the product’s integrity and completeness upon receipt.

8.2. The Buyer has the right to demand compliance with the Agreement’s terms.

8.3. The Seller must:

Fulfill the Agreement’s terms.
Deliver the product as described.

9. LIABILITY OF THE PARTIES

9.1. Both parties are responsible for failure to fulfill this Agreement as per Ukrainian law.

9.2. In case of force majeure, parties are exempt from liability.

10. FINAL PROVISIONS

10.1. The online store reserves the right to unilaterally modify this Agreement, publishing the updated version on arteradiator.com.ua.

10.2. The online store does not bear responsibility for the accuracy of information provided by the Buyer.

10.3. Payment for an order in the online store constitutes the Buyer's full acceptance of this Agreement.

10.4. The website uses the LiqPay payment system (liqpay.ua) for transactions, which has its own data policies.

11. OTHER TERMS

The online store reserves the right to unilaterally amend this Agreement with prior publication on the website "arteradiator.com.ua".
The online store is designed to facilitate the remote sale of goods via the Internet.
The online store is not responsible for the accuracy or truthfulness of the information provided by the Buyer when placing an order.
The Buyer is responsible for the accuracy of the information provided when placing an order.
The Buyer's payment for an order placed in the online store constitutes full acceptance of the terms of this Sales Agreement (public offer) and serves as the date of contract conclusion between the Seller and the Buyer.

The website uses the LiqPay payment system (liqpay.ua) for order payments. LiqPay has its own data processing and cookie policies, as well as payment processing terms, which the user can review during the payment process.

The use of the online store’s resources for product browsing and order placement is free of charge for the Buyer.
The information provided by the Buyer is considered confidential. The online store uses this information solely for the operation of the store, including order processing, notifications about order status, and promotional messages.
By accepting this Agreement or registering on the website "arteradiator.com.ua" (by completing the registration form), the Buyer voluntarily agrees to the collection and processing of their personal data in the Seller’s registered database "Counterparties." The provided data may be used for commercial purposes, including:

Order processing
Receiving order-related information
Sending promotional and special offers via email, SMS, or phone calls
Notifying about discounts, promotions, and store activities

For these purposes, the Seller has the right to send emails, SMS messages, and make calls to the phone number specified by the Buyer.

The Buyer grants the Seller the right to process their personal data, including:

Storage in the database
Accumulation, updating, and modification when necessary
Ensuring data protection from unauthorized access
Restricting data transfer to third parties, except:

Affiliated persons
Commercial partners
Persons authorized by the Seller for direct data processing
Competent state authorities upon official request

If the Buyer does not wish to receive promotional emails, they have the right to contact the Seller and submit a request to unsubscribe by sending a written notice to the Seller's postal or email address.

12. TERM OF THIS AGREEMENT

This Agreement becomes effective from the moment the Buyer places an order or registers on the website "arteradiator.com.ua" and remains valid until all contractual obligations are fulfilled.

Both parties have the right to terminate this Agreement unilaterally in case of a breach of its terms by the other party or in other cases provided by the current legislation of Ukraine.
